That structure has two practical consequences. One: we are not under quarterly burn-rate pressure to take work we shouldn’t take. Two: the people who founded the studio are still the people who run it — same phone number, same office, same names on the email.
For investors, partners and acquirers, that is the most useful thing we can offer up-front: the company you meet today is the company you keep dealing with.
The audit volumes for every year since incorporation are kept in the office. Investors and prospective acquirers are welcome to see them — by appointment, in the room, under NDA.
We say what we are going to do, and then we do it. Trust is built in small increments — a quote that holds, a deadline kept, a difficult conversation had early rather than late. The studio is run by the same two founders who started it; the people you meet are the people you keep dealing with.
We work alongside the people who back us — not at arm’s length. Investors, partners and clients sit in the same rooms as the engineering team. Studio-wide updates, quarterly catch-ups in person, and the kind of honesty that can only happen when people actually know each other.
Investors provide the resources for the studio to grow and take on the work it should be taking on; in return, we share what comes out of it — profits and a hand in choosing what is funded next. We treat that as a single relationship, not as two opposing sides of a term sheet.
The arrangement, in one line: investors give the studio resources to grow and ship; the studio shares the profits that result. There is no clever structure beneath that sentence.
Some of the studio’s time, and some of the pool’s capital, goes into IT projects we sponsor directly — interesting work by individuals or teams whose ideas we think will accrue to Hong Kong’s community at large.
Each engagement, each sponsored project and each cycle of profit share is recorded in writing and signed. A real person owns each line; if something slips, we say so before you have to ask.
Books are kept clean. Group accounts are audited annually by a Hong Kong-licensed CPA firm; statutory filings are current. Investors and prospective acquirers may inspect the latest set under NDA.
Source code, designs and infrastructure produced under engagement transfer to the client on payment. The studio does not take silent licences or kickbacks from the work it ships.
Project builds are fixed-fee against a signed scope. Embedded engagements bill against a written rate card that you see in full. Third-party services we resell are passed through at cost.
